overflow in nested table?

I have 2 pages I'm trying to make work. The first is doing exactly what I want but I had to use a layer and a separate text box floating to achieve what I'm trying to do, which is have a text area that can overflow without changing the entire container I'm using.

this is what happens when I just use a nested table with set heights, when the text overflows it stretches the whole container and makes my side menu all out of whack?

any thoughts?

well I thought I figured it out. It works great in Firefox but in IE7 I get a weird margin above my menu.
