Do you mean that he/she gave you a password to login to the site or a password for ftp access or maybe a password for something like cpanel?

As i have to modify the HTML pages, It must be a ftp access username
and password. can you please explain using usename, password and
web address(not ip address) how to enter the location where the file
located and modify it.

You'll need an FTP client, SmartFTP (http://smartftp.com/) is good and free, it's pretty intutive and you'll probably figure it out quickly.

If you right click on the file you'll get an option to download which works just like a "save as" dialouge.
If you right click on some empty space then you'll get an option to upload which works just like an "open" dialouge.

If they have identical content then it's likely there the same folder, experiment a bit, see what happens.
